These Terms of Service ("Terms") govern your use of nexoraexperience.com and any related pages, portals, or communications operated by Nexora Experience Ltd ("Nexora", "we", "us"). By accessing or using the site, submitting an inspection request, or otherwise engaging with us, you agree to be bound by these Terms.

1. About Nexora

Nexora Experience Ltd is a smart real estate development company incorporated in Nigeria, operating out of Port Harcourt, Rivers State. We plan, develop, and sell serviced land plots and residential communities — including ECO SAVANA, Nexora Crest, and Nexora Echelon — designed around sustainable infrastructure, resort-style amenities, and integrated smart technology.

2. Nature of the site

The site is an information and enquiry platform for our developments. Prices, plot availability, project timelines, and construction updates shown on the site are indicative and may change without prior notice. Nothing on the site constitutes a binding offer, contract, or promise of return. All purchases are subject to a separate written subscription agreement, deed of assignment, or offer letter signed by both parties.

3. No investment guarantee

Real estate values fluctuate with market conditions. Any information the site presents about past sales, previous phase pricing, or historical performance describes past factual events only. It is not a forecast or guarantee of future price appreciation, resale value, or rental yield. You should make your own independent enquiries and, where appropriate, consult a qualified financial advisor before committing to a purchase.

4. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract in Nigeria to submit an inspection request or purchase a plot.

5. Inspection requests and communication

When you submit an inspection form, you confirm that the details provided are accurate, and you consent to Nexora contacting you by phone, WhatsApp, or email regarding your enquiry. You may opt out of marketing communications at any time by replying STOP to any WhatsApp message or emailing us.

6. Investor and partner portals

Access to the investor portal and realtor partner portal (both signed in at /portal) is provided under separate account credentials issued by Nexora. You are responsible for keeping those credentials confidential and for all activity under your account. Notify us immediately if you suspect unauthorised access.

7. Fees and commissions

Sales commission rates for realtor and leverage partners, referral overrides, and any promotional bonuses are governed by the partner agreement you sign at onboarding and by the rate schedule published in the partner portal. Rates may be updated for future closings with at least 14 days' notice.

8. Acceptable use

Do not use the site to submit false, fraudulent, or misleading information.
Do not attempt to bypass rate limits, scrape data at scale, or otherwise interfere with the operation of the site.
Do not use the site or our communications to advertise unrelated products or services.
Do not attempt to gain unauthorised access to any portal, account, or backend system.

9. Intellectual property

The site content, including project renderings, photographs, videos, layouts, and copy, is owned by or licensed to Nexora and is protected by Nigerian and international intellectual-property law. You may share links to the site and screenshots for personal, non-commercial purposes only. Commercial republication requires our written consent.

10. Third-party links and services

The site may link to third-party services (for example WhatsApp, Google Maps, our hosting provider, and any partner platforms we integrate with in the future). We are not responsible for the content, availability, or practices of those third-party services.

11. Warranties and disclaimers

The site is provided "as is" without warranties of any kind, express or implied, to the fullest extent permitted by Nigerian law. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components. Project renderings are for illustrative purposes and actual construction may vary.

12. Limitation of liability

To the fullest extent permitted by law, Nexora and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the site. Our aggregate liability for direct damages arising from the site itself (not from a signed sales contract) is limited to ₦100,000 or the amount you paid Nexora in the 12 months preceding the claim, whichever is greater.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot lawfully be limited under Nigerian law.

13. Indemnity

You agree to indemnify Nexora against any claims, damages, or expenses arising from your breach of these Terms, your misuse of the site, or your infringement of any third-party rights.

14. Termination

We may suspend or terminate your access to the site or any portal account at any time, with or without notice, if we reasonably believe you have breached these Terms. Provisions that by their nature should survive termination (including Sections 3, 9, 11, 12, 13, 15, and 16) will survive.

15. Governing law and dispute resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall first be resolved by good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to arbitration in Port Harcourt under the Arbitration and Mediation Act 2023, with a single arbitrator conducting proceedings in English. Nothing prevents either party from seeking urgent injunctive relief from the courts of Rivers State.

16. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top will change. Material changes will be highlighted on the site for 30 days.
